- Weather Policy. All reasonable efforts will be made to hold the event rain or shine. Federal Hill Main Street, Inc. reserves the sole and exclusive right to cancel or reschedule the event due to weather conditions. You are responsible for protecting
your equipment and/or merchandise from inclement weather.
- Set-up and Break-down Schedule: You may start set-up no earlier than 9:00 am and your exhibit must be completely installed by 11:30 pm. Failure to be on-site and set-up by 11:30 am may result in a reassignment of your space. All vehicles must
be out of the area by 11:30 am and cannot return to the site before 7:00 pm. Break-down will commence no sooner than 7:00 pm. Your exhibit must be completely off the street no later than 9:30 pm.
- No special permits are available for vendor parking. Vendor parking is available on the street and in the West Street Parking Garage (on West Street between Charles and Light). Some residential streets have restricted parking; please check
the signs.
- Booth numbers will not be assigned until the day of the festival. Report to any Ticket Booth or ask any Festival Volunteer with a headset for your booth location.
- You are required to have an attendant at your space during all event hours, noon to 7 pm, as well as during set-up and break-down. You must keep your display and sampling/promotions within your 10’ x 10’ assigned space. All draping
material etc. must be flame retardant.
- Your Vendor Application & Agreement required you to specify EXACTLY what items are being sold, exhibited, promoted or distributed at the event. If, on the day of the event, you include items that were not specified in the Vendor Application
& Agreement, or if you include items that are of a controversial nature, (e.g., not family-oriented), Federal Hill Main Street, Inc. has the right to ask you to remove such item(s) or leave the festival. You must not engage in any illegal
activity of any kind.
- No microphones or playing of music is allowed. No raffles or games of chance will be permitted unless pre-approved by Federal Hill Main Street, Inc..
- AT NO TIME mav beer. wine or liquor be sold or distributed unless specifically authorized by Federal Hill Main Street, Inc.. AT NO TIME may food or beverages be sold from an Arts & Crafts booth.
- Any food vendor who accepts “Band Money” will be reimbursed by Federal Hill Main Street, Inc. at the end of the festival. Band Money is provided to band members to use in exchange for food only. (not arts & crafts)

ANY VENDOR WHO POURS GREASE OR DISPOSES OF FOOD WASTE ON THE STREET AND/OR SIDEWALK WILL BE FINED $50 AND SUBJECT TO ANY GOVERNMENTAL FINES AND LIABILITY. You are required to take appropriate measures to prevent damage to streets, sidewalks
and other private and public property as a result of your participation in the event, including the use of protective coverings on streets and sidewalks as necessary if food products are cooked in or produce grease. If you use or create grease,
charcoal, ashes or food waste you must properly dispose of these materials. In addition to the $50 fine, you will be liable for any damages caused by you and your employees and agents in connection with your participation
in the event, including all repairs to sidewalks, streets and other property. Property damage by any vendor will result in the exclusion of that vendor from subsequent events.
- Use of generators is severely restricted; requests to use them must be submitted at least 30 days in advance of event and Federal Hill Main Street, Inc. has the right to refuse requests based on space allowance. Vendors with generators may
be moved to a less central location within the festival grounds at the sole discretion of Federal Hill Main Street, Inc..
- DO NOT leave trash behind, nor any leftover merchandise. You must leave space as you found it. Any vendor violating this rule will be barred from future events. Use trash receptacles. All merchandise and trash left in
area after 9:30 pm will be removed by Federal Hill Main Street, Inc. at expense of the vendor.

Submission of the Vendor Application and Agreement and/or payment of the fee shall constitute a valid and binding agreement between the vendor and Federal Hill Main Street, Inc.

Spaces are non-transferable and cannot be resold. You may not sublet your space or any portion of it.

Neither Federal Hill Main Street, Inc., Inc., its directors, officers, employees, representatives, agents and volunteers, nor the City of Baltimore, are liable for any damage to or destruction of any exhibit, booth or other vendor space from any
cause whatsoever, or for the theft or disappearance from any vendor space of any property contained in or about the exhibit area or for any loss you may sustain.

Insurance Requirements: Vendor is solely responsible to maintain all appropriate and/or required insurance, including but not limited to, liability insurance and worker’s compensation insurance, at your own expense and initiation.
Federal Hill Main Street, Inc. assumes no responsibility of any kind for insurance on behalf of any vendor or exhibitor.
Please submit a Certificate of Insurance (COI) verifying $1,000,000 General Liability per event, $2,000,000
in aggregate and Worker’s Comp coverage if you have one or more employees. The COI must have the following wording included in the description box. “The Mayor and City Council of Baltimore City, the Departments of Recreation &
Parks, Public Works and Employees of the City of Baltimore and Federal Hill Main Street, Inc. are named as additional insured for the Jazz & Blues Festival on October 6, 2019 to be held in Federal Hill, Baltimore, MD 21230."

Vendor agrees to indemnify, defend and hold harmless Federal Hill Main Street, Inc. and its directors, officers, employees, representatives, agents and volunteers from any and all claims, demands, suits, and actions, including attorneys’
fees and costs, arising as a result of any direct, indirect, willful, or negligent act or omission of the vendor, its employees, agents, or volunteers, EXCEPT for activities caused by the sole negligence of Federal Hill Main Street, Inc. and
its directors, officers, employees, representatives, agents and volunteers.

Federal Hill Main Street, Inc., and its directors, officers, employees, representatives, agents and volunteers shall not be liable for any claims, liabilities, costs, and charges (including attorneys’ fees and costs) for injury, loss, or
damage to persons or property (including death) arising out of vendor’s activities in connection with the festival, or any breach of representation, warranty, or covenant in this agreement. Under no circumstances shall Federal Hill Main
Street, Inc. be liable for consequential, indirect, special, or punitive damages of any kind in connection with its activities or omissions relating to the festival or this agreement, regardless of whether such damages were foreseeable.

Vendor shall pay all sales and other taxes, fees, and assessments required by any applicable federal, state, or local law in connection with the vendor’s participation in the festival.

Vendor’s violation of any of these rules or regulations or of applicable law will result in the forfeiture of your space and your removal from the event. By signing the Vendor Application and Agreement and/or paying the required fees, you
expressly agreed to waive any right to recourse or to demand a refund or to claim damages on such grounds.

Waiver of any term or condition set forth herein, or failure of Federal Hill Main Street, Inc. to enforce any terms or condition herein, shall not be deemed a waiver of Federal Hill Main Street, Inc.’s rights to subsequently enforce any
term or condition.

Vendor agrees that no representations of any kind have been made to the vendor by Federal Hill Main Street, Inc. or its directors, officers, employees, representatives, agents, and volunteers and that no understanding has been made or agreement
entered into other than as set forth herein.

Each provision of this agreement shall deem to be a separate, severable, and independently enforceable provision. The invalidity or breach of any provision shall not cause the invalidity or breach of the remaining provisions, which shall remain
in full force and effect.

This agreement constitutes the entire agreement between the parties and supersedes any other agreement or representations between the parties, whether oral or written. No provision, term, or condition of this agreement may be amended, waived,
or modified except by a written agreement signed by both parties.

The interpretation of all rules and regulations is the sole responsibility of Federal Hill Main Street, Inc. and all decisions of Federal Hill Main Street, Inc. shall be final and enforceable.
